Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Gunning Holdings, Inc., doing business as CraftForge ("CraftForge," "we," "us," or "our"), governing your access to and use of the CraftForge platform, including our website, mobile applications, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. You must be at least 18 years old to use the Services.
If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
2. Description of Services
CraftForge is a platform that connects licensed service professionals ("Service Providers" or "Pros") with customers seeking home services ("Customers"). Our Services include:
- Personalized booking links for Service Providers
- Automated scheduling and appointment management
- Secure payment processing with hold and capture functionality
- Communication tools between Service Providers and Customers
- License verification services
- Job management and tracking tools
CraftForge acts as a technology platform facilitating connections between Service Providers and Customers. We are not a party to any service agreement between Service Providers and Customers, and we do not provide, perform, or guarantee any services offered by Service Providers.
3. User Accounts
Service Provider Accounts
To register as a Service Provider, you must provide accurate information including your name, business name, contact information, and professional license details. We verify licenses through state licensing boards to ensure compliance with applicable regulations.
Service Provider accounts are subject to approval. We reserve the right to reject applications or suspend accounts that do not meet our verification requirements or violate these Terms.
Customer Accounts
Customers may create accounts using phone-based authentication. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
Account Responsibilities
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are solely responsible for all activity that occurs under your account.
4. Service Provider Obligations
As a Service Provider, you agree to:
- Maintain all required licenses, permits, and insurance for your trade and jurisdiction
- Provide accurate descriptions of your services, qualifications, and pricing
- Perform services in a professional, workmanlike manner consistent with industry standards
- Communicate promptly and professionally with Customers
- Honor confirmed appointments or provide reasonable notice of cancellation
- Comply with all applicable laws, regulations, and industry standards
- Maintain appropriate insurance coverage for your services
- Accurately report job completion and final charges
You acknowledge that you are an independent contractor and not an employee, agent, or representative of CraftForge. You are solely responsible for your services, tax obligations, and compliance with employment laws.
5. Customer Obligations
As a Customer, you agree to:
- Provide accurate information about your service needs and property
- Ensure safe access to your property for scheduled appointments
- Authorize payment holds when booking services
- Review and approve completed work and final charges within 72 hours
- Communicate promptly and respectfully with Service Providers
- Pay for services rendered in accordance with agreed terms
You understand that payment authorization places a hold on your payment method. This hold is captured upon your approval of the completed work or automatically after the 72-hour approval window if no dispute is raised.
6. Payment Terms
Payment Processing
All payments are processed through Stripe, our third-party payment processor. By using the Services, you agree to Stripe's terms of service. Service Providers receive payments through Stripe Connect accounts.
Hold and Capture Model
When booking a service, Customers authorize a hold on their payment method for the estimated service amount. This hold reserves the funds but does not charge you until:
- You approve the completed work and final charges, or
- 72 hours pass after job completion without a dispute being raised
Platform Fees
CraftForge charges Service Providers a platform fee on each transaction. Current fees are disclosed during registration and may be updated with notice. Platform fees are deducted from payments before transfer to Service Providers.
Disputes
If a Customer disputes charges within the 72-hour window, CraftForge will facilitate communication between the parties to resolve the dispute. We reserve the right to make final determinations on disputed charges based on available evidence.
7. Intellectual Property
The Services and all content, features, and functionality (including but not limited to software, text, graphics, logos, and design) are owned by CraftForge and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of content you submit to the Services. By submitting content, you grant CraftForge a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Services.
You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.
8. Prohibited Uses
You agree not to use the Services to:
- Violate any applicable law, regulation, or these Terms
- Engage in fraud, misrepresentation, or deceptive practices
- Infringe on the rights of others, including intellectual property rights
- Harass, abuse, or harm other users
- Transmit malware, viruses, or other harmful code
- Interfere with or disrupt the Services or servers
- Circumvent security features or access unauthorized areas
- Collect user information without consent
- Use the Services for any illegal or unauthorized purpose
- Circumvent the platform to avoid paying platform fees
9. Dispute Resolution
Between Users
Disputes between Service Providers and Customers regarding services should first be addressed directly between the parties. If resolution cannot be reached, CraftForge may assist in mediation but is not obligated to resolve disputes between users.
With CraftForge
Any dispute arising from these Terms or the Services shall first be addressed through informal negotiation by contacting us at support@craftforge.us. If informal resolution fails, disputes shall be resolved through binding arbitration in Riverside County, California, in accordance with the rules of the American Arbitration Association.
Class Action Waiver
You agree to resolve disputes with CraftForge on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRAFTFORGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
- Your use or inability to use the Services
- Any conduct or content of any third party on the Services
- Services provided by Service Providers
- Unauthorized access, use, or alteration of your content
IN NO EVENT SHALL CRAFTFORGE'S TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO CRAFTFORGE IN THE PAST TWELVE MONTHS.
11. Indemnification
You agree to indemnify, defend, and hold harmless CraftForge and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Services you provide as a Service Provider
- Any content you submit to the Services
12. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
You may terminate your account at any time by contacting us at support@craftforge.us. Termination does not relieve you of any obligations incurred prior to termination, including payment obligations.
Sections that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Riverside County, California, and you consent to the personal jurisdiction of such courts.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Services and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
For material changes that affect your rights or obligations, we will provide at least 30 days' notice before the changes take effect, unless the changes are required by law.
